Terms & Conditions

Please READ Carefully. By purchasing and registering for this service, the following Terms and Conditions (the “Terms”) are entered into by Oake Studio (“Business”, “we”, or “us”) and You (“Client” or “You”), and You agree to the following terms stated herein. The Company and You may be referred to individually as a “Party” and collectively as the “Parties” in these Terms.

1. Acceptance of Terms

By accessing and using the Oake Studio Website, you acknowledge that you have read, understood, and agreed to comply with these terms and conditions, as well as any applicable laws and regulations. If you do not agree with these terms, please refrain from using the Website or Services.

2. Intellectual Property Rights

All content, including but not limited to text, graphics, images, videos, and software on the Oake Studio Website, is protected by intellectual property laws and is owned or licensed by Oake Studio. You may not use, reproduce, distribute, modify, or create derivative works from any content without prior written consent from Oake Studio. This includes proprietary marks, business names, logos, and designs associated with Oake Studio.

3. Ownership of Materials

All design and original source files created on Client's behalf ("Projects") belong to the Client, and the Client shall be the sole owner of the copyright for all Projects. In the event that any operation of law would cause Oake Studio to become the owner of a Project, in whole or in part, rather than the Client, Oake Studio irrevocably and perpetually assigns its entire interest in the Project to the Client, without limitation. The Client warrants that any materials provided to Oake Studio during the design process are owned by the Client and do not infringe on any third party's rights.

4. User Representations

By using the Oake Studio Website, you represent and warrant that you have the legal capacity, are not a minor, and will not access the Website through automated or non-human means. You will not use the Website for any illegal or unauthorized purpose, and your use of the Website will not violate any applicable law or regulation.

5. Prohibited Activities

You shall not access or use the Website for any purpose other than that for which the Website is made available. The Website may not be used in connection with any commercial endeavors except those related to the services provided by Oake Studio.

6. Services

The Business agrees to provide the services titled, “Website in a Day” (herein referred to as the “Service”) as outlined on the web page where You register, which includes:

Website in a Day Service: As detailed on the web page where You register, this service includes customization of a website template, strategic calls regarding branding and website layout, a color palette, and optimization for desktop and mobile devices. Specifically:
A 1-hour brand strategy call if deemed necessary.
30min website strategy call on the day of service.
A provided brand colors palette, consisting of 3-6 colors, 1-2 fonts options and a brand vision board.
Customized desktop and mobile versions of your website, including complete mobile + desktop optimization of the Home Page, About Me Page, Services Page, and Contact Page.

General Web Design Services: Custom web design and development services tailored to meet the specific needs of your project outside the scope of the “Website in a Day” service.

7. Fees and Payment Method

For the "Website in a Day" service, there is a single payment of AUD $999.00 (due immediately and paid in full), otherwise services do not commence. For Enterprise or other web design and development services, pricing will be based on the scope of the project as agreed upon in a separate project proposal or contract. Payments are processed via Stripe or direct invoicing.

8. Cancellation Policy & Refunds

Clients may cancel their registration for any service with a full refund if the cancellation is made at least one week prior to the scheduled start date of the service. Cancellations made less than one week before the scheduled start date are not eligible for a refund due to the resources allocated for the provision of these services. Once the service has commenced, there are no refunds.

9. Intellectual Property

Upon completion of the services and full payment, the Client will own the final website design and related materials. However, original design templates remain the intellectual property of the Business. The Business retains the right to display and link to the project as part of our portfolio and to write about the project on websites and social media.

10. Confidentiality

The Business agrees to maintain the confidentiality of any confidential information provided by the Client during the course of the project and shall not disclose such information without the prior written consent of the Client. This obligation of confidentiality will survive the termination of this Agreement.

11. Independent Contractor

The Business is engaged as an independent contractor. The Business shall use its own discretion to select the method, details, and means of performing the Services. The Business shall have no authority to act on behalf of, represent or bind the Client in any manner.

11. Limitation of Liability

The Business shall not be liable for any indirect, special, incidental, punitive, or consequential damages or loss of profits, revenue, data, or business opportunities arising out of or related to this Agreement, whether an action is in contract or tort and regardless of the theory of liability.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Sydney, Australia.

12. Miscellaneous

This Agreement constitutes the entire agreement between the Parties regarding its subject matter. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Electronic Communications, Transactions, and Signatures

By using the Oake Studio Website, you agree to receive communications from us electronically. You acknowledge that agreements, notices, disclosures, and other communications sent via email or through the Website satisfy any legal requirement that such communication be in writing. You also consent to the use of electronic signatures, contracts, orders, and other records, as well as the electronic delivery of notices, policies, and records of transactions initiated or completed by Oake Studio or through the Website.

14. Cookies and Data Sharing

By using the Oake Studio Website, you consent to the use of cookies and similar technologies for the purpose of improving your browsing experience and analyzing Website usage. Cookies are small text files stored on your device that help us enhance user experience, understand your preferences, and track usage patterns. Additionally, you acknowledge that certain information, including but not limited to your IP address, browser type, and browsing behavior, may be collected, stored, and analyzed for statistical purposes. You also consent to the sharing of non-personal and aggregated data with third-party service providers that assist us in improving our services and analyzing Website performance.
